1. Introduction

Welcome to newledger.sg ("we," "our," or "us"), operated by Nexara Global Pte. Ltd., a company incorporated in Singapore. These Terms and Conditions ("Terms") govern your access to and use of our accounting software-as-a-service platform, its features, functionality, and related services (collectively, the "Service") provided through our websites, including newledger.io and newledger.sg (collectively, the "Sites"). By accessing or using the Service, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you must not access or use the Service.

Limitations: Please refer to our pricing page to understand the specific limitations associated with each subscription plan. These limitations may include features such as the number of staff members, clients, and priority support availability. All limitations are subject to change based on future updates to our plans and services.

Custom Development and Integrations: We offer API access for custom integrations. For custom development services, please contact us directly at contact@newledger.sg.

By using NewLedger Payments, which is powered by Stripe, you acknowledge that certain information you provide will be shared with and processed by Stripe Payments Singapore Pte. Ltd. ("Stripe"). This is necessary for enabling NewLedger to offer and support the payment functionality. In doing so, you also agree to be bound by Stripe's Connect Account Agreement and Privacy Policy: https://stripe.com/legal/connect-account

You further acknowledge and consent that NewLedger may access and use relevant information you've provided to Stripe as part of delivering this feature. Such information will be handled in line with our Terms, and the NewLedger Payments offering shall be considered part of the overall “Services” provided under these Terms.

3. Account Management

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Account access may be restricted or terminated if you engage in any of the following activities:

  • Spamming
  • Hacking or attempting to gain unauthorized access to the Service or any related systems
  • Violating intellectual property rights
  • Using the Service for illegal or harmful purposes
  • Breaching data security or compromising the integrity of the Service.

4. Subscription and Pricing

We offer three subscription tiers: Starter, Growth, and Scale, with varying features and pricing. Detailed subscription plans are available on https://newledger.sg/pricing.

5. Payment and Refunds

Payment Methods: Payments can be made using Credit Card or PayPal via Stripe, our secure third-party payment processor. Subscription fees are typically billed in advance on a monthly or yearly basis. All fees are inclusive of any applicable taxes (e.g., GST, VAT), unless stated otherwise.

Free Trial: A 14-day free trial is available for all new accounts created by first-time users.

Refunds:
  • Monthly Subscription: Refunds are available only within 30 days of your first monthly payment. After this period, no refunds will be issued. Canceling during an active billing cycle stops future charges but does not refund the current month.
  • Yearly Subscription: Refunds are only available within 30 days of the initial payment. No prorated refunds are provided after this period.
  • Refund Requests: Submit refund requests within 30 days of payment to contact@newledger.sg with subject line 'Refund Request'.

6. Data Collection and Privacy

We collect the following types of information:
  • Account information (e.g., email, name, address)
  • Usage data (e.g., features used, data entered)
  • Financial data (e.g., payment information)
We use this data to:
  • Provide and improve the Service
  • Process payments
  • Communicate with you about the Service
  • Analyze usage patterns and trends

We store and process your data securely in compliance with the General Data Protection Regulation (GDPR), Singapore’s Personal Data Protection Act 2012 (PDPA), and other applicable data protection laws. Data may be processed outside the EU or Singapore, with safeguards such as Standard Contractual Clauses in place.

7. GDPR and PDPA Compliance

We are committed to complying with all applicable data protection laws, including GDPR and PDPA. This includes:
  • Processing your data lawfully, fairly, and transparently
  • Collecting only the data necessary for the purposes specified
  • Ensuring the accuracy and security of your data
  • Providing you with access to your data and the right to request corrections or deletions

8. Customer Support

We provide email support during business hours (Monday–Friday, 9:00 AM – 5:00 PM Singapore Time). We aim to respond to all support inquiries within 24 business hours.

9. Service Changes and Updates

We may make minor updates to the Service without prior notice to improve performance, security, or functionality.

Major updates requiring downtime will be scheduled in advance with at least 7 days' notice via email.

10. Limitation of Liability

Subject to applicable law, newledger.sg and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or use, arising out of or in connection with these Terms or the use of the Service, even if newledger.sg has been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless newledger.sg, its affiliates, directors, employees, and agents from any and all claims, damages, liabilities, costs, and expenses (including attorneys' fees) arising from your violation of these Terms, your use of the Service, or any third-party claims related to your content or actions.

12. Termination

newledger.sg may suspend or terminate your account at any time, without prior notice, if you violate any of the provisions of these Terms. You may terminate your account at any time by following the process in the account settings section of the Service. Upon termination, your access to the Service will be immediately revoked, and your data may be deleted in accordance with our data retention policies.

13. Force Majeure

Neither party shall be liable for failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, terrorism, strikes, labor disputes, internet or server issues, and government regulations.

14. Governing Law

These Terms and any disputes related to them shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of Singapore.

15. Dispute Resolution

In the event of a dispute, the parties agree to first attempt to resolve the matter through informal negotiation or mediation. If the dispute cannot be resolved, it shall be submitted to binding arbitration in accordance with the rules of the Singapore International Arbitration Centre (SIAC).

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and newledger.sg regarding your use of the Service.

17. Changes to Terms

newledger.sg reserves the right to modify, update, or revise these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of the Service after changes constitutes your acceptance of the updated Terms.

19. Language

These Terms are originally written in English. If translated into other languages, the English version shall prevail in case of any inconsistency.
